How much would I actually keep after selling my commercial property?
Estimate cash at closing by subtracting debt payoff, selling costs, and net closing adjustments from the sale price. Then account for taxes and other obligations to estimate what may remain available. Cash proceeds and taxable gain are different calculations, so ask your closing professionals and CPA to prepare their respective estimates.

Which deductions belong in a proceeds estimate?
Request actual information wherever possible: a lender payoff estimate, negotiated brokerage fees, legal and closing estimates, and expected adjustments or credits. Note the effective date of every estimate because balances and prorations can change.
Keep reserves for uncertain items separate from confirmed costs. Avoid a single unexplained percentage deduction that hides assumptions. A clear worksheet lets you see which part of the outcome a change in price or terms would affect.
What does a simple cash-at-closing example look like?
This hypothetical example illustrates arithmetic only. It is not a fee quote, valuation, or tax estimate.
| Item | Amount |
|---|---|
| Sale price | $3,000,000 |
| Debt payoff | ($1,000,000) |
| Assumed selling costs | ($150,000) |
| Assumed net adjustments and credits | ($25,000) |
| Estimated cash before income taxes | $1,825,000 |
If a CPA separately estimated a $300,000 tax reserve for this hypothetical situation, the remaining planning amount would be $1,525,000. That assumed reserve is not derived from the sale price and should not be used for another property.
Why is taxable gain different from cash proceeds?
For tax purposes, gain generally depends on the amount realized and adjusted basis. Adjusted basis can reflect improvements and depreciation. Paying off a loan affects cash available, but the loan balance is not a substitute for adjusted basis. The character and treatment of gain require a separate analysis. How I use net proceeds in a seller conversation
I connect the estimated funds available to the purpose of the sale. If the owner needs a certain amount for the next step, we should know whether a realistic outcome supports it before launching the process.
Ask your team to show a range of sale scenarios, identify the source of each assumption, and update the worksheet as terms become clearer. Compare offers using their estimated net effect, not just their headline price.
Can I use the sale price minus my mortgage as my spending budget?
That leaves out selling costs, adjustments, taxes, and other obligations. Use it only as an incomplete starting point, not as a final estimate of available funds.
